Terms of Service

1. Acceptance of Terms

By accessing or using Benevofy ("the Platform"), operated by Waesta Enterprises Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform.

These terms apply to all users, including association members, administrators, treasurers, and any other roles within the Platform.

2. Description of Service

Benevofy is a multi-tenant SaaS platform for managing associations, including:

  • Member registration and profile management
  • Event creation, ticketing, and attendance tracking
  • Payment collection via mobile money (MTN, Airtel, M-Pesa)
  • Digital wallet management (UGX and KES)
  • GAAP-compliant accounting and financial reporting
  • Budget tracking, document management, and notifications
  • Digital membership cards and QR-based check-in

3. User Accounts

3.1 Registration

Accounts are created by association administrators via invitation or bulk import. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

  • You must not share your password with anyone
  • You must notify your administrator immediately if you suspect unauthorized access
  • We reserve the right to suspend accounts that show signs of unauthorized activity

3.3 Accurate Information

You agree to provide accurate, current, and complete information. Providing false information may result in account suspension.

4. Payments & Financial Terms

4.1 Payment Processing

Payments are processed through Relworx, a licensed payment gateway. By initiating a payment, you authorize the deduction from your mobile money account.

4.2 Transaction Finality

Completed payments are final. Refunds are at the sole discretion of your association's administrators and are subject to their refund policy.

4.3 Wallet

Your digital wallet is a prepaid balance for use within the Platform. Wallet balances are non-transferable between users and non-refundable except as determined by your association.

4.4 Fees

Transaction fees (if any) are displayed before you confirm a payment. We reserve the right to modify fee structures with 30 days' notice.

5. Multi-Tenancy

Each association operates as an independent tenant. Association administrators are responsible for managing their members, events, and financial data within their tenant. We are not responsible for decisions made by association administrators regarding membership, payments, or event management.

6. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorized access to other tenants' data
  • Upload malicious files or attempt to exploit vulnerabilities
  • Use automated tools to scrape or extract data
  • Impersonate another user or misrepresent your identity
  • Use the Platform to launder money or facilitate fraud
  • Interfere with or disrupt the Platform's infrastructure

7. Intellectual Property

The Platform, including its design, code, logos, and documentation, is the intellectual property of Waesta Enterprises Ltd. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without written permission.

Content uploaded by users (documents, images) remains the property of the respective users or associations.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our control (internet outages, payment gateway issues, force majeure).

9. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by your association in the 12 months preceding the claim
  • We are not responsible for failed mobile money transactions caused by network issues, insufficient funds, or carrier problems
  • We are not responsible for decisions made by association administrators

10. Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the Uganda Data Protection and Privacy Act, 2019 and the Kenya Data Protection Act, 2019.

11. Termination

We may suspend or terminate your account if you violate these Terms. Your association administrator may also deactivate your account. Upon termination, your access to the Platform ceases immediately. Financial records may be retained as required by law.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Republic of Uganda. Any disputes shall be resolved through arbitration in Kampala, Uganda, under the rules of the Centre for Arbitration and Dispute Resolution (CADER).
